Terms of Service — RoomDen

OVERVIEW

Welcome to RoomDen (“RoomDen”, “we”, “us”, “our”). We operate this website and store, including all related information, content, features, tools, products, and services (collectively, the “Services”). RoomDen is powered by Shopify.

These Terms of Service (the “Terms”) together with the policies referenced here describe your rights and responsibilities when using the Services. By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. ACCESS AND ACCOUNT

You represent you are the age of majority in your jurisdiction and consent to any minor dependents using the Services on devices you own or manage. You may be asked for information such as email, billing, payment, and shipping details. You warrant such information is accurate, current, and complete, and that you have the right to provide it. You are responsible for maintaining account security and for all activity under your account. Do not transfer or license your account to others.

2. OUR PRODUCTS

We make reasonable efforts to present products accurately. Colors, textures, and finishes may vary due to device settings, lighting, or material batches. We do not warrant that any product’s appearance or quality will meet your expectations. Product descriptions may change at any time without notice. We may discontinue products or limit quantities to any person, region, or jurisdiction.

3. ORDERS

Placing an order is an offer to purchase. We may accept or decline any order at our discretion. Your order is accepted only when we confirm acceptance and successfully process payment. Review orders carefully; cancellations may not be possible after acceptance. If we do not accept, modify, or cancel an order, we will attempt to notify you using the contact details provided.

Returns and exchanges are governed solely by our Refund & Return Policy.

You represent your purchases are for personal or household use and not for resale or export.

4. PRICES AND BILLING

Prices, promotions, and discounts may change without notice. The price charged is the price in effect when the order is placed and will appear in your confirmation email. Unless stated otherwise, prices exclude taxes, shipping, handling, customs, and import charges.

You agree to provide current and accurate purchase, payment, and account information and to promptly update it as needed. You warrant that (i) the payment method is valid and authorized, (ii) charges will be honored, and (iii) you will pay all amounts due, including taxes, shipping, and handling.

5. SHIPPING AND DELIVERY

Delivery times are estimates only and not guaranteed. We are not liable for delays caused by carriers, customs, or events beyond our control. Title and risk of loss pass to you when we hand the goods to the carrier. Nothing in this section limits any non-waivable consumer rights required by law.

6. INTELLECTUAL PROPERTY

All content and materials in the Services (including trademarks, text, graphics, images, video, audio, designs, and their arrangement) are owned by RoomDen or its licensors and protected by applicable IP laws. You may use the Services for personal, non-commercial purposes only. Do not reproduce, distribute, modify, display, or create derivative works without prior written consent.

RoomDen names, logos, and product/service marks are trademarks of RoomDen. Shopify’s names and marks are trademarks of Shopify. Other names and marks are the property of their respective owners.

7. OPTIONAL TOOLS

We may provide access to third-party tools “as is” and “as available.” We do not monitor or control such tools and have no liability arising from their use. Use them at your own risk and review the providers’ terms. New features or tools we release will also be subject to these Terms.

8. THIRD-PARTY LINKS

The Services may contain third-party content or links. We are not responsible for examining or evaluating such materials and are not liable for any related harm or damages. Review third-party policies before engaging in transactions. Direct any concerns to the third party.

9. RELATIONSHIP WITH SHOPIFY

RoomDen is powered by Shopify. All sales and purchases are directly between you and RoomDen. Shopify is not responsible for your transactions with RoomDen. You expressly release Shopify and its affiliates from claims and liabilities arising from your purchases with RoomDen.

10. PRIVACY

Personal information collected through the Services is subject to our Privacy Policy. Because the Services are hosted by Shopify, some data processing is performed by Shopify under its privacy policy. Information submitted via the Services may be transmitted to Shopify and service providers in other countries as needed to provide and improve the Services.

11. FEEDBACK

If you submit ideas, reviews, or other content (“Feedback”), you grant RoomDen a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback for any purpose. You represent you own or control the rights to your Feedback and that it complies with these Terms. We may, but are not obligated to, monitor or remove Feedback in our discretion.

12. ERRORS AND OMISSIONS

Information on the Services may contain typographical errors or inaccuracies (e.g., descriptions, pricing, promotions, shipping charges, transit times, availability). We may correct or update information or cancel orders if any information is inaccurate, at any time without notice (including after an order is submitted).

13. PROHIBITED USES

Use the Services only for lawful purposes. You may not, directly or indirectly: violate laws; infringe IP rights; harass or harm others; transmit false or misleading information; send spam or unsolicited promotions; impersonate others; upload malicious code; scrape or collect personal data without consent; interfere with security features; or otherwise engage in conduct that harms RoomDen, Shopify, or users. We may suspend or terminate accounts for violations.

14. TERMINATION

We may terminate or suspend the Services (in whole or part) at any time without notice. You remain liable for amounts due up to the termination date. Sections that by nature should survive (including IP, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, Waiver/Entire Agreement, Assignment, Governing Law, and Privacy) will survive termination.

15. DISCLAIMER OF WARRANTIES

Except as expressly stated by RoomDen, the Services and all products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, timely, secure, or error-free operation. Some jurisdictions do not allow certain disclaimers; those limitations may not apply to you. Your statutory rights, if any, are not affected.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, RoomDen and our officers, employees, affiliates, agents, contractors, service providers, and licensors (and Shopify and its affiliates) will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, savings, data, or replacement costs, arising from your use of the Services or products, even if advised of the possibility.

17. INDEMNIFICATION

You agree to indemnify and hold harmless RoomDen, Shopify, and our respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, violation of law or third-party rights, or use of the Services. We may control the defense and settlement at your expense; you will reasonably cooperate.

18. SEVERABILITY

If any provision is found unlawful or unenforceable, it will be enforced to the maximum extent permitted, and the remainder will remain in full force.

19. WAIVER; ENTIRE AGREEMENT

Our failure to enforce any right does not waive it. These Terms and the policies posted on the site constitute the entire agreement between you and RoomDen and supersede prior communications.

20. ASSIGNMENT

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without notice.

21. GOVERNING LAW

These Terms and any related disputes are governed by the laws of Hong Kong Special Administrative Region. You and RoomDen submit to the exclusive jurisdiction of the courts of Hong Kong SAR.

22. HEADINGS

Headings are for convenience only and do not affect interpretation.

23. CHANGES TO TERMS

You can review the current Terms at any time on this page. We may update or modify these Terms by posting changes here. Where required by law, we will notify you of material changes. Continued use of the Services after changes become effective constitutes acceptance.
